SOKI Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and SOKI ("SOKI", "we", "us", or "our") governing your access to and use of the SOKI mobile application, website, and all related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account or using the Service, you confirm that you are at least 16 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you are under 16, or under such higher minimum age as required by the law of your jurisdiction, you may not use the Service.

These Terms should be read alongside our Privacy Policy and Community Guidelines, both of which are incorporated into these Terms by reference.

1. Description of the Service

SOKI is a venue-based anonymous social platform that enables users to communicate via text, images, videos, audio, and RealMoments (dual-camera photo/video posts) within physical venues that have registered with SOKI. Users participate anonymously using a chosen username and are not required to reveal their real identity to other users.

Access to venue-specific features requires proximity to a registered venue (verified via QR code scan). Certain features including private messaging and profile sharing operate across venues.

2. Account Registration and Security

2.1 Account Creation

You may create an account anonymously without providing an email address. To secure your account and unlock additional features, you may optionally link a verified email address and password. You are responsible for:

  • Providing accurate account information;
  • Maintaining the confidentiality of your credentials;
  • All activity that occurs under your account, whether or not authorised by you;
  • Notifying us immediately at support@soki.co.ke of any suspected unauthorised access.

2.2 One Account Per User

You may not create multiple accounts to circumvent moderation actions, bans, or these Terms. Where we detect ban evasion — including creating a new account after a permanent ban — we reserve the right to permanently terminate all associated accounts without notice.

2.3 Username Requirements

Usernames must not contain profanity, sexual content, solicitation language, hate speech, impersonation of real persons or organisations, or any content that violates our Community Guidelines. Usernames are subject to automated and human review. We reserve the right to require a username change at any time. Usernames may be changed once every 14 days.

2.4 Email Verification

Where you choose to link an email address, it must be verified within 1 hour of linking. Unverified email addresses are automatically unlinked. Failure to verify does not delete your account but removes email-linked features until a verified email is linked.

3. User Content

3.1 Ownership

You retain ownership of content you create and post on SOKI ("User Content"). By posting User Content, you grant SOKI a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Service.

3.2 RealMoments Licence to Venue Operators

By posting a RealMoment within a venue, you additionally grant the relevant venue operator a non-exclusive, royalty-free licence to use, display, and reproduce that RealMoment for legitimate marketing and promotional purposes, subject to the restrictions set out in our Privacy Policy (Section 5) and these Terms. Venue operators are strictly prohibited from using RealMoments for purposes that shame, harass, defame, or discriminate against you, or that constitute a privacy violation or non-consensual intimate imagery.

3.3 Your Representations

By posting User Content, you represent and warrant that:

  • You own or have the necessary rights to post the content;
  • The content does not violate the rights of any third party including intellectual property rights, privacy rights, or publicity rights;
  • The content does not violate applicable law or these Terms;
  • The content complies with our Community Guidelines.

3.4 Content Responsibility

You are solely responsible for your User Content. SOKI does not endorse, support, or guarantee the accuracy of any User Content. We are not liable for User Content posted by you or other users.

3.5 Content Removal

We reserve the right, but not the obligation, to review, remove, or restrict access to any User Content at our discretion, including where it violates these Terms or our Community Guidelines. Removal of content does not automatically remove associated enforcement actions (strikes, mutes, bans).

4. Content Moderation System

4.1 Automated Moderation

All User Content — including messages, images, videos, profile information, bios, and usernames — is subject to automated moderation using artificial intelligence systems including OpenAI's Moderation API and Google Cloud Vision SafeSearch. You acknowledge and consent to this automated processing as a condition of using the Service.

Text messages are screened after delivery. Images, videos, and profile content are screened before being made visible. Content pending moderation review is temporarily withheld from other users.

4.2 Strike System

Violations of our Community Guidelines result in strikes applied to your account. Strikes are classified by severity:

4.3 Enforcement Actions

  • Mute (3 hours): You may view the Service but cannot send messages or media.
  • Temporary ban (3 days): You may view the Service but cannot send any content. You may submit an appeal.
  • Permanent ban: Your Firebase Authentication account is disabled, all sessions are invalidated, and you are redirected to a suspension screen. You may appeal soft/hard permanent bans within 30 days. Critical permanent bans are not subject to appeal.

4.4 New Account Restrictions

Accounts less than 3 hours old may not send images or videos. This restriction exists to prevent abuse by newly created accounts.

4.5 Appeals

You may appeal automated moderation decisions using the in-app Appeal button on flagged content, or by contacting support@soki.co.ke. Appeals are reviewed by human moderators. We aim to respond to appeals within 7 business days. Our decision on appeals is final. Critical-tier permanent bans are not eligible for appeal.

4.6 Ban Evasion

Attempting to circumvent a ban by creating a new account, using a different email address, or any other method is a violation of these Terms and will result in immediate termination of the new account. Where a permanent ban was issued for hard-tier violations, re-registration using the same email address is permanently blocked.

4.7 Reporting

You may report content or users that you believe violate our Community Guidelines using the in-app report feature. Reports are reviewed by our moderation team. Submitting false or malicious reports is itself a violation of these Terms.

5. Prohibited Conduct

You agree not to, and not to facilitate others to:

5.1 Illegal Activity

  • Violate any applicable local, national, or international law or regulation;
  • Post, transmit, or distribute child sexual abuse material (CSAM) or any content that sexualises or exploits minors;
  • Engage in fraud, identity theft, or impersonation;
  • Use the Service to facilitate drug trafficking, human trafficking, terrorism, or any other criminal activity;
  • Violate intellectual property, privacy, or other rights of third parties.

5.2 Harmful Content

  • Post sexually explicit content, non-consensual intimate imagery, or content that solicits sexual services;
  • Post graphic violence, gore, or content that glorifies or incites violence;
  • Harass, threaten, bully, intimidate, or stalk any person;
  • Post hate speech targeting individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics;
  • Post content designed to promote self-harm or suicide;
  • Dox (reveal private identifying information about) any person without their consent.

5.3 Platform Abuse

  • Circumvent, disable, or interfere with our content moderation systems;
  • Upload malware, viruses, or other harmful code;
  • Use automated tools, bots, or scrapers to access the Service;
  • Attempt to gain unauthorised access to our systems, other user accounts, or venue data;
  • Overload or disrupt the Service or servers;
  • Create accounts to evade bans or enforcement actions;
  • Spam, mass-message, or send unsolicited commercial communications;
  • Collect or harvest personal information about other users without their consent.

5.4 Solicitation

  • Solicit sexual activity, escort services, or other commercial sexual services;
  • Solicit money, financial information, or gifts from other users under false pretences (romance scams);
  • Direct users to external platforms (WhatsApp, Telegram, OnlyFans, etc.) for the purpose of solicitation.

6. Community Guidelines

SOKI is designed to be a safe, respectful, and enjoyable space for everyone. These Community Guidelines apply to all content and behaviour on the platform.

6.1 Be Respectful

  • Treat all users with dignity and respect regardless of their background, beliefs, or identity.
  • Disagree constructively. Debate ideas, not people.
  • Do not use language or content designed to degrade, shame, or humiliate others.

6.2 Keep It Safe

  • Do not share content that could put you or others at risk of physical harm.
  • Do not share personal contact information (phone numbers, home addresses) of yourself or others in public chats.
  • Report users who you believe pose a safety threat using the in-app report feature.
  • If you are in immediate danger, contact local emergency services. SOKI is not an emergency service.

6.3 No Sexual Content in Public Spaces

  • Sexual content, sexually explicit images, videos, or messages are not permitted in group chats or public spaces.
  • Sexual solicitation — including coded or euphemistic language — is not permitted anywhere on the platform.
  • Sending unsolicited sexual content to another user is a hard-tier violation and will result in immediate enforcement action.

6.4 Authentic Participation

  • Do not impersonate other users, public figures, businesses, or SOKI staff.
  • Do not create fake accounts, use automation, or artificially inflate engagement.
  • Usernames and profile information must not be misleading or used to deceive other users.

6.5 RealMoments Standards

  • RealMoments must show you genuinely present at the venue at the time of the prompt.
  • Do not post staged, pre-recorded, or misleading RealMoments.
  • RealMoments must comply with all content standards in these Guidelines.
  • Remember that RealMoments may be seen by venue operators and used for marketing purposes — post only content you are comfortable with venue staff viewing and potentially sharing publicly.

6.6 Absolutely Prohibited

The following will result in immediate permanent account termination and, where applicable, reporting to law enforcement:

  • Any content that sexualises, exploits, or endangers minors (CSAM);
  • Sharing the private sexual imagery of another person without their consent;
  • Credible threats of violence against specific individuals or groups;
  • Doxxing — sharing someone's private identifying information to facilitate harassment or harm;
  • Content that promotes, glorifies, or facilitates terrorism or mass violence.

6.7 Consequences

Violations of these Community Guidelines result in strikes as described in Section 4.2. We reserve the right to apply enhanced enforcement in cases of severe, repeated, or coordinated violations. Good-faith appeals are always available for automated enforcement actions.

7. Intellectual Property

7.1 SOKI's IP

The Service, including all software, design, trademarks, logos, and content created by SOKI, is owned by or licensed to SOKI and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from our IP without our prior written consent.

7.2 DMCA / Copyright Complaints

If you believe that your copyright has been infringed by content on SOKI, please send a notice to legal@soki.co.ke containing: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Service; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy and authority, signed under penalty of perjury. We will respond to valid notices in accordance with applicable law.

8. Venue Operators

Venue operators are subject to separate Venue Terms of Service in addition to these Terms. By operating a venue on SOKI, venue operators agree to:

  • Use user content (including RealMoments) only for lawful marketing and promotional purposes;
  • Not use user content in any way that shames, harasses, defames, or discriminates against users;
  • Not share or sell user data obtained through the SOKI dashboard to third parties;
  • Comply with all applicable data protection and privacy laws in relation to user content they access;
  • Promptly report any suspected illegal content or user behaviour to SOKI at legal@soki.co.ke.

SOKI is not liable for the actions of venue operators in relation to user content. Where a venue operator misuses content in breach of these Terms, please report it to privacy@soki.co.ke and we will investigate.

9. Subscriptions, Billing & Usage Limits

9.1 Subscription Plans

SOKI offers tiered subscription plans for venue operators (“Starter”, “Professional”, and “Enterprise”). Each plan includes different feature limits, user capacity, and AI analytics capabilities. Current plan details and pricing are available on our Pricing page. SOKI reserves the right to modify plan features and pricing with at least 14 days' written notice prior to your next billing cycle.

9.2 Billing & Payment

Subscriptions are billed on a monthly or annual basis, as selected during registration. Payments are processed through Paystack in Kenyan Shillings (KES). By subscribing, you authorise recurring charges to your payment method. You are responsible for keeping your payment information current.

9.3 Usage Limits

Each plan includes specific monthly limits for AI analytics queries, RealMoments triggers, polls, and report exports. Usage resets at the beginning of each billing cycle. When a limit is reached, the relevant feature will be temporarily unavailable until the next cycle or until you upgrade. Usage limits do not affect mobile app users' ability to respond to existing content.

9.4 Upgrades, Downgrades & Cancellations

  • Upgrades take effect immediately upon successful payment. You gain access to the higher-tier features right away.
  • Downgrades are scheduled to take effect at the end of your current billing cycle. You retain your current features until then.
  • Cancellations are scheduled for the end of your current billing cycle. Your venue will be deactivated from discovery after the cancellation takes effect.

9.5 Refund Policy

All plans include a 30-day money-back guarantee from the date of your first payment. If you are not satisfied within 30 days, contact support@soki.co.ke for a full refund. After the 30-day period, no refunds will be issued for the remaining time on your current billing cycle. Early renewals and upgrade payments are non-refundable once the new plan is activated.

9.6 Subscription Expiry

If your subscription expires and is not renewed, your venue will be removed from discovery in the mobile app. Your data will be retained for 90 days, after which it may be permanently deleted. You may reactivate your subscription at any time within the retention period.

10. Account Termination and Deletion

10.1 Termination by You

You may delete your account at any time through the Privacy Settings screen in the app. Deletion is immediate and irreversible. Upon deletion:

  • Your Firebase Authentication account is permanently disabled;
  • Your personal information is stripped from your profile immediately;
  • Your username is released for use by others;
  • A soft-deleted shell of your profile is retained for 30 days (without personal data) for service integrity, then permanently archived;
  • Content you posted in group chats remains visible but attributed to "Deleted Account".

10.2 Termination by SOKI

We may suspend or permanently terminate your account at our sole discretion, with or without notice, for:

  • Violation of these Terms or our Community Guidelines;
  • Providing false registration information;
  • Engaging in ban evasion;
  • Activity that poses a risk to SOKI, other users, or third parties;
  • As required by applicable law.

We are not obligated to retain your content or data following termination, subject to our legal obligations outlined in the Privacy Policy.

10.3 Effect of Termination

Upon termination, your licence to use the Service ceases immediately. Sections 3, 7, 9, 11, 12, 13, and 14 of these Terms survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) all User Content will be accurate, reliable, or appropriate; or (d) our content moderation systems will detect all policy-violating content.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable mandatory consumer protection law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOKI, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY USER CONTENT; (C) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; OR (D) ANY CONTENT MODERATION DECISION.

WHERE LIABILITY CANNOT BE FULLY EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM, OR KES 1,000 (ONE THOUSAND KENYAN SHILLINGS), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain implied warranties or liability for certain types of damages. If you are in such a jurisdiction, some of the above limitations may not apply to you. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SOKI and its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or our Community Guidelines; (d) your violation of any applicable law or regulation; or (e) your violation of the rights of any third party.

14. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

13.2 Dispute Resolution

We encourage you to contact us at legal@soki.co.ke before initiating any formal dispute. We will attempt to resolve disputes informally within 30 days. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Nairobi, Kenya, conducted in English, under the rules of the Nairobi Centre for International Arbitration (NCIA), unless otherwise required by applicable mandatory law.

13.3 EEA / UK Users

If you are an EEA or UK consumer, you may be entitled to bring a claim in the courts of your country of residence under applicable mandatory consumer protection law, and nothing in these Terms affects those rights. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, collective, or representative action. Nothing in this section prevents you from bringing a claim in a court of competent jurisdiction where required by applicable mandatory law.

15. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and SOKI regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemic, war, government action, or infrastructure failure.

14.6 Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you via in-app notice or email at least 14 days before the changes take effect (or such shorter period as required in emergency circumstances). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may delete your account before the effective date.

14.7 Language

These Terms are published in English. In the event of any conflict between a translated version and the English version, the English version prevails.
